General Terms and Conditions of Sale (GTC) – Nova Project + (100% Online Skills Assessment)

Clause No. 1: Purpose

These general terms and conditions of sale (GTC), established in accordance with Article L. 441-1 of the French Commercial Code, govern the rights and obligations of Nova Project + (hereinafter “the Service Provider”) and its clients in connection with the 100% online skills assessment services.
Any order implies the Client’s full acceptance of these GTC and the specific conditions specified in the attached commercial proposal.

Clause No. 2: Price

The prices of the services are indicated in euros and calculated inclusive of all taxes (VAT). The Service Provider reserves the right to modify its rates at any time. However, services will be billed at the rate in effect at the time of the Client’s order confirmation.
Rates include:
⦁ The 100% online skills assessment service, including discussions, digital tools, and materials provided.
Any discounts, rebates, or specific conditions are specified in the commercial proposal.

 

Clause No. 3:

Billing and Financing Terms
⦁ Direct Billing
⦁ 30% of the total service amount is invoiced at the time of ordering.
⦁ The remaining 70% is invoiced at the end of the service.
⦁ Financing by Third-Party Organizations
The Service Provider is Qualiopi certified for its skills assessments, allowing them to be covered by funding organizations (CPF, France-travail, OPCO, etc.).
When the skills assessment is financed by a third-party organization (CPF, OPCO, France Emploi, etc.), the general terms and conditions of the funding organization prevail over these General Terms and Conditions with regard to:
⦁ payment deadlines,
⦁ cancellation terms,
⦁ and any specific conditions relating to the administrative or financial management of the file.
In the event of subrogation, billing is made directly to the funder according to the terms and conditions defined by the funder. The Client is required to validate their file with the financier before the start of the service.

 

Clause No. 4: Payment Terms

Payment for services can be made:
⦁ By bank transfer (bank details will be included in the invoice).
⦁ By payment via the CPF platform or any other approved financing method.
Invoices are payable within 30 days, unless specific conditions are specified in the commercial proposal.

For personal financing: the invoice can be paid in installments over 3, 6, 9, or 12 months, free of charge

Clause No. 5: Late Payment

In the event of late payment, the following penalties apply:
⦁ Late payment interest equal to 15% of the unpaid amount including tax, calculated from the due date, without prior formal notice being required.
⦁ Fixed compensation of €40 for recovery costs, in accordance with Articles L. 441-10 and D. 441-5 of the French Commercial Code

Clause No. 6: Non-Performance

In the event of non-compliance by the Client with its contractual obligations, the Service Provider may, after giving 8 days’ notice:
⦁ Suspend the performance of the services,
⦁ Terminate the contract,
⦁ Demand damages for the loss suffered.

Exception for funding organizations: If the service is funded by a third-party organization, the deadlines and conditions of non-performance are governed by the organization’s general terms and conditions

Clause No. 7: Delivery of Services

Services are considered delivered once all skills assessment sessions have been completed online and the final report has been submitted to the Client.

Clause No. 8: Cancellation and Postponement

In the event of cancellation or postponement, only the services actually provided are due pro rata temporis to their value anticipated at the time of subscription.

Clause No. 9: Protection of Personal Data

As part of the provision of services, personal data is collected and processed in accordance with applicable regulations, including the General Data Protection Regulation (GDPR).
The Client has the right to access, rectify, limit, and delete their personal data. These rights may be exercised in accordance with the terms and conditions specified in the Service Provider’s privacy policy, available on its website.

Clause No. 10: Confidentiality and Communication

The Service Provider and the Client undertake to maintain the confidentiality of the information exchanged within the framework of the services.
The Client nevertheless authorizes the Service Provider to cite its name and use its logo in its commercial references (website, social media, commercial documents), unless explicitly refused in writing

Clause No. 11: Applicable Law and Jurisdiction

These General Terms and Conditions are governed by French law.
Any dispute relating to the execution or interpretation of these General Terms and Conditions shall be submitted to the competent courts of Paris, in accordance with the applicable procedural rules.
